Technology Transactions Counsel
Job Description
Evaluate contract negotiations and redlines involving technology agreements. Use experienced legal judgment to identify risk, improve sample drafting and define consistent standards for AI-generated contract work.
What you will do
• Complete simulated negotiations and redline MSAs, NDAs and DPAs.
• Assess whether proposed contract edits resolve the relevant legal and commercial risks.
• Write defensible grading criteria and specific feedback on weak responses.
• Refine the examples and review guidance used for subsequent evaluations.
Required background
• At least three years negotiating technology contracts.
• Qualify through at least three years of relevant in-house counsel experience, or through an ABA-accredited JD, active US bar admission and at least three years of technology-transactions practice.
• The SaaS in-house assignment requires both the ABA JD/active US bar and three years of relevant in-house experience.
• Strong analytical writing, close attention to detail and effective cross-disciplinary collaboration.
Preferred background
• Prior legal-AI, legal-technology or training work.
• Corporate-law-firm experience, particularly M&A or private-equity fund formation.
Availability
• Remote, part-time work.
Pay and engagement
$84 • $210/hr
All amounts are in USD. The rate, task scope and schedule are agreed before work begins.
