Derivatives Documentation Counsel
Job Description
Review derivatives-related agreements and assess AI contract judgments. Explain how negotiation choices affect termination, netting, collateral and other material contractual risks.
What you will do
• Complete simulated negotiations and redline ISDA Master Agreements and related documentation.
• Assess responses to derivative-contract scenarios and explain inaccurate risk analysis.
• Create grading criteria for the legal quality of proposed contract changes.
• Contribute examples involving relevant commercial agreements and improve review guidance.
Required background
• For specialist derivatives documentation, at least three years of experience negotiating ISDA Master Agreements, LPAs, CSAs and other commercial agreements; alternatively, at least three years of in-house technology-transactions work covering MSAs, NDAs and ISDA/derivatives matters.
• For specialist ISDA work, detailed knowledge of default, termination, close-out netting and collateral provisions.
• Strong analytical writing and ability to work with reviewers from different disciplines.
Preferred background
• Legal-AI or training experience.
• Corporate-firm M&A or private-equity fund-formation work.
Availability
• Remote, part-time task work; about 3.5 hours per task is an indicative effort estimate.
