Commercial Contract Review Attorney
Job Description
Review contract examples against written legal positions and explain each proposed change. Combine clause-level redlining with concise risk memos that non-lawyers can understand.
What you will do
• Review MSAs, NDAs, DPAs and comparable sample agreements for enforceability, clarity and risk.
• Apply the agreed playbook, identify fallback positions and mark up problematic clauses.
• Explain changes involving liability limits, indemnities, confidentiality and data protection.
• Use public legal research where needed and produce clear summaries of remaining issues.
Preferred background
• A JD, US bar membership and at least four years of contract-heavy transactional, compliance or in-house practice.
• Active admission is preferred for playbook redlining; the sample-document review profile also welcomes lapsed US bar membership.
• Strong drafting, negotiation and technology-transactions experience.
• Ability to explain legal risks plainly and manage confidentiality and conflicts carefully.
Location and eligibility
• US-based contributors are sought for the designated playbook-redlining work; broader sample-document review is remote.
Pay and engagement
$84 • $189/hr
All amounts are in USD. The rate, task scope and schedule are agreed before work begins.
