Commercial Counsel — Task-Based Review
Job Description
Assess commercial-contract negotiation decisions and the quality of reference redlines. Work may also include simulated technology-contract negotiations and writing the criteria used to grade them.
What you will do
• Read negotiation exchanges and determine whether important issues were identified.
• Assess the appropriateness and precision of proposed redlines.
• Explain legal and commercial weaknesses through structured written feedback.
• For technology-contract tasks, produce sample edits and objective grading criteria for MSAs, NDAs, DPAs and relevant ISDA provisions.
Required background
• At least three years of direct commercial-contract negotiation and redlining experience.
• US commercial-redline review requires a US JD from an accredited US law school and US-based attorney practice; firm, company or municipal experience qualifies.
• In-house technology-contract tasks require at least three years of in-house experience with the relevant agreements.
• Ability to express contract judgments precisely and apply review criteria consistently.
Preferred background
• Active US bar admission for the commercial-redline profile.
• SaaS/MSA experience, high-volume contracting or fractional-GC work.
• Legal-AI work, or corporate-firm M&A and private-equity fund-formation experience.
Location and eligibility
• US residence is required for the US-JD commercial-redline assignment; in-house technology-contract tasks are remote, without a stated residence restriction.
Availability
• Flexible remote work. In-house technology tasks have an indicative handling time of about 3.5 hours, not a guaranteed hourly payment basis.
